Synopsis: Associated Alcohols & Breweries to acquire Kerala-based SDF Industries for Rs. 30.85 crore following NCLT approval. The strategic deal establishes direct manufacturing ownership, enhancing cost efficiency and supply chain reach in Southern India.
Associated Alcohols & Breweries Limited (AABL) has announced the strategic acquisition of SDF Industries Limited, a Kerala-based distillery and liquor manufacturer, for a total consideration of Rs. 30.85 crore. The deal was finalized following the approval of AABL’s resolution plan by the National Company Law Tribunal (NCLT), Kochi Bench, under the Insolvency and Bankruptcy Code (IBC) process on April 16, 2026.
This acquisition marks a pivotal shift for AABL as it moves to establish direct manufacturing ownership in the high-consumption Kerala market. By transitioning from its existing contract-based production model to a fully owned facility, the company is positioned to significantly enhance cost efficiencies through operational optimization.
The deal converts SDF Industries into a wholly owned subsidiary, providing AABL with an integrated facility in Thrissur capable of producing 75 lakh litres of potable alcohol and 3.6 million cases of IMFL annually. Despite the target entity reporting zero turnover in FY 2024-25, AABL expects to revitalize operations within 30 days.
On the bourses, Associated Alcohols & Breweries Ltd witnessed a bearish trend on April 20, closing at Rs. 884.70, down 2.22% from its previous close. Despite a stable open at Rs. 904.00, the stock faced consistent selling pressure throughout the session, hitting an intraday low of Rs. 875.10. Trading activity remained modest with a volume of 0.47 lakh shares; however, the stock continues to show momentum with a 21.32% absolute return over the last month.
Company Overview
Associated Alcohols & Breweries Limited is a leading integrated player in the Indian alcoholic beverages industry, specializing in the production of extra neutral alcohol (ENA) and Indian Made Foreign Liquor (IMFL).
